Terms of Service

These terms govern use of the GridTally application and this website, provided by Gorman Field Services, LLC, a Florida limited liability company ("we", "us"). By using GridTally you agree to them. If you do not agree, do not use the service.
1. Who may use GridTally
GridTally is a business tool. Access is provisioned by an administrator at the company that subscribes to the service ("the Customer"). There is no open public signup. You may use GridTally only if the Customer has issued you an account and only for that Customer's business purposes. You must be at least 16 years old.
2. Accounts and the Customer's responsibilities
- The Customer is responsible for who it grants access to, and for removing access when someone leaves.
- The Customer is responsible for telling its employees that time and location are being recorded, and for doing so in a way that complies with the employment, wage-and-hour, and privacy laws that apply to it.
- You are responsible for keeping your sign-in credentials confidential and for activity under your account.
- Tell us promptly if you believe an account has been compromised.
3. Location data
GridTally records device location in connection with clocking in and out, and, where the Customer enables it, at intervals during an open shift. By using the app for timekeeping you acknowledge this collection. It is described in the privacy policy. The Customer decides whether location is required; we do not make that decision for them.
4. Acceptable use
You agree not to:
- Falsify time, location, or any other record in the system
- Access or attempt to access data belonging to another company or another user
- Probe, scan, or test the security of the service, or bypass any access control
- Interfere with or disrupt the service, or use it to store or transmit unlawful material
- Reverse engineer, resell, or provide access to the service to anyone outside the Customer's organization
- Use automated means to extract data at a scale that degrades the service
5. Customer data
As between us and the Customer, the Customer owns the records entered into GridTally. We use them to provide and support the service, and as described in the privacy policy. We do not sell Customer data. On termination, the Customer may request an export of its records within a reasonable period.
6. Our intellectual property
The GridTally software, design, name, and logo are our property and are protected by intellectual property law. These terms grant a limited, non-exclusive, non-transferable right to use the service while access is active. No other rights are granted.
7. Service availability
We work to keep GridTally available, but we do not promise uninterrupted service. Maintenance, third-party provider outages, and network conditions can interrupt access. We may change or discontinue features, and will give the Customer reasonable notice of material changes where we can.
8. Timekeeping records are not payroll advice
GridTally produces records and exports for the Customer's use. It does not calculate wages, taxes, or overtime entitlements, and it is not legal, tax, or payroll advice. The Customer remains responsible for reviewing records for accuracy and for complying with wage-and-hour law.
9. Disclaimer of warranties
To the fullest extent permitted by law, the service is provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
10. Limitation of liability
To the fullest extent permitted by law, we are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, or lost or corrupted data. Our total liability arising out of or relating to the service will not exceed the amounts paid to us for the service in the twelve months before the event giving rise to the claim, or one hundred United States dollars if no amounts were paid.
11. Indemnity
The Customer will defend and indemnify us against claims arising from its use of the service in breach of these terms or in violation of law, including claims by its own personnel relating to how it configured or used timekeeping and location features.
12. Suspension and termination
We may suspend or terminate access for breach of these terms, for non-payment, or where continued access poses a security or legal risk. The Customer may stop using the service at any time. Sections that by their nature should survive termination will survive.
13. Text messages
Optional SMS notifications are governed by the messaging terms. Consent is collected in the app, is not a condition of employment or of using GridTally, and can be withdrawn at any time by replying STOP.
14. Governing law
These terms are governed by the laws of the State of Florida, without regard to its conflict of laws rules. The exclusive venue for any dispute is the state or federal courts located in Hillsborough County, Florida, and the parties consent to that jurisdiction.
15. Changes to these terms
We may update these terms. The revised date at the top of this page reflects the current version, and material changes will be communicated to Customer administrators. Continued use after a change means you accept it.
